Billing Policy 2025

Effective date: April 8th, 2025

This statement sets forth the Billing Policy of AccessMule LLC (“Company”) for those of the customers of our software AccessMule available on https://accessmule.com (“AccessMule Services”) who elects to purchase our Paid Packages “Control” and/or “Plus” (the “Paid Package”). Although we do not wish to be overly formal in our relationship with our customers, we have found it to be useful to address in some detail the terms of our billing procedure. The below stated AccessMule Business Billing Policy (“Policy”) remains subject to the Terms of Service which appears on https://accessmule.com/legal/terms (“TOS”). Capitalized terms that are not otherwise defined herein have the meaning ascribed to them in the TOS. In this Policy, the words “you” and “your” refer to each AccessMule customer, visitor or user; and “we”, “us” and “our” refers to the Company; and “Services” refers to all services provided by us through AccessMule. Pursuant to the TOS, your usage of the Paid Package constitutes your acceptance of this Policy, and all Paid Package customers must comply with this Policy.

BILLING FOR USERS

Billing under the Paid Package is charged based on the number of Users. For the purposes of this Policy, the term “Users” includes the Primary Administrator, Administrators and User as defined by the AccessMule's Privacy Policy available at https://accessmule.com/legal/privacy, active and suspended, registered within the Services at any moment during the billing period. For all effects related to billing, suspended Users will be treated in the same way as active users.

To charges under the Policy for a specific User, you, through an authorized Administrator user, must log in to AccessMule, select the User and click in “Delete” (a ”Proper Removal”).

MONTHLY SUBSCRIPTION

Customers may subscribe to the Paid Package through a monthly subscription (“Annual Subscriptions ”).

The only payment method accepted by the Company for a Monthly Subscription, regardless the number of Users, is a valid credit/debit card that you have registered AccessMule. Subscription billing is based on the availability of products and services, not based on usage.

All monthly recurring subscription Paid Package accounts are setup on a prepaid basis, and payment must be received by the Company before any billable product or service is provided/activated. All recurring subscriptions are automatically invoiced and charged to the credit/debit card on file. Payment receipts will be emailed to the Administrator user who had provided the credit/debit card details and concluded the subscription. On the Subscriptions area, Administrators can find the invoices, receipts, and the list of charged Managed Devices for the last 12 months.

Invoices are generated, and the credit/debit cards are automatically charged, on the first week of each month (billing period) and will include the prepaid value for the month for all Users on customer's account for that month.

If the customer decides to add a User during the month, a new license must be purchased before the addition of the User. If the customer is leveraging integrations to automatically add Users and opt for the automated billing workflow to avoid the need for manual actions, AccessMule will issue the Invoice and charge the credit/debit cards automatically at the time of each new User registration.

All Users will be billed for the entire month during which such User are removed pursuant to a Proper Removal or registered, regardless of the actual number of days such User was registered on AccessMule.

On each billing date, the Company will invoice and charge the customers based on the largest number of Users on the billing date.

Cancellation of Monthly Subscription: Customers must cancel their monthly subscription to the Paid Package at least ten days prior to the Company's next scheduled billing date to avoid being charged for the month to which the invoice issued on such billing date. In the event of the cancellation of a monthly subscription, the Company will provide the cancelling customer with continued access to the Paid Package features through the end of their final billing period. The Company will not prorate or refund any portion of the subscription fees.

CANCELLATION OF THE CREDIT CARD THAT CUSTOMER HAS REGISTERED WITH THE COMPANY AND TO WHICH SUBSCRIPTION FEE BILLING IS TO BE BILLED IS NOT A PROPER MANNER OF TERMINATING CUSTOMER'S SUBSCRIPTION TO THE PACKAGE.

ANNUAL SUBSCRIPTION

Customers may subscribe to the Paid Package through an annual subscription (“Annual Subscriptions”).

The only payment method accepted by the Company for an Annual Subscription, regardless the number of Users, is a valid credit/debit card that you have registered AccessMule. Subscription billing is based on the availability of products and services, not based on usage.

The Company will charge you for all Users added during any specific subscription year based on a pro-rated cost calculated according to the number of months in any subscription year during which month the User was registered with AccessMule Services regardless of whether the User performed any action on the AccessMule Services.

If the customer decides to add a User during an Annual Subscription, a new license must be purchased before the addition of the User. If the customer is leveraging integrations to automatically add Users and opt for the automated billing workflow to avoid the need for manual actions, AccessMule will issue the Invoice and charge the credit/debit cards automatically at the time of each new User registration.

AccessMule will not prorate refund for Users removed after the payment. If the customer wants to replace Users, it's important to remove a User BEFORE registering a new one to avoid any charges. To remove a registered User and avoid charges, the customer must perform a Proper Removal.

Automatic Renewal of Annual Subscription: At any time during the Annual Subscription the customer can navigate to the Subscriptions area and opt to cancel and not renew the Paid Package subscription for the next year, adjust the number of User for the next year or switch to a different Paid Package. If any change on prices is applicable, AccessMule will email all the Administrators and place alerts on the system.

If the Customer fails to cancel or modify the Annual Subscription for the Paid Package, as described above, prior to the fifteenth day preceding the expiration date of an existing Annual Subscription, then, AccessMule will automatically renew the Annual Subscription for the Paid Package based on the number of licenses, Users verified on that day, or the minimum required number of licenses for a Paid Package, whichever is higher. AccessMule will automatically issue the Invoice and charge the credit/debit card for the amount of the renewed subscription fee.

UPGRADING AND DOWNGRADING PAID PACKAGES

At any time during an Annual Subscription of the Control Paid Package, the customer can opt to upgrade the annual subscription to the Plus Paid Package. On this case, on the day of the upgrade, AccessMule will charge the customer only for the difference of the subscription cost pro-rated based on whole months (inclusive of the month in which the upgrade occurs regardless of date) to the end of the active Annual Subscription and the subscription will be immediately converted from a Control Paid Package subscription to a Plus Paid Package subscription and will automatically renew as a Plus Paid Package subscription.

Conversely, downgrades from Plus Paid Package to Control Paid Package during active Annual Subscription periods are not possible. Any downgrade from Plus Paid Package to Control Paid Package will only be applied at the time of a renewal.

BILLING DISPUTES

Each AccessMule customer agrees to provide AccessMule 30 days to attempt settlement of any billing dispute before disputing with any third-party credit/debit card company or bank. Should AccessMule receive a chargeback from a third-party credit/debit card company or bank on the customer's behalf before AccessMule has been given a chance to resolve the issue, AccessMule has the right to charge the customer for its time spent in resolving such disputes and any associated fees incurred by AccessMule, in addition to the $50 service chargeback fee for failed payment. Regardless of the outcome of the chargeback, AccessMule retains the right to collect on any Services or fees that are due. AccessMule may submit any disputed amounts to a collection agency. Once a chargeback has been received, AccessMule has the right to suspend the account until the matter is resolved.

REFUNDS

Fees for any and all AccessMule subscriptions, products and/or services are expressly nonrefundable under any circumstances.
